ADELAIDE COMIC AND TOY FAIR STALLHOLDER TERMS AND CONDITIONS
Adelaide Comic and Toy Fair – Spider58 Pty Ltd

These Terms and Conditions apply to all Stallholders participating in any event operated by Spider58 Pty Ltd, trading as the Adelaide Comic and Toy Fair. These Terms, along with any event-specific instructions provided via our website or email, form a binding legal agreement between Spider58 Pty Ltd and you (the Stallholder). The jurisdiction for these terms is South Australia, and all participants agree to be bound by the laws of this jurisdiction.
1. Definitions

Event: The Adelaide Comic and Toy Fair hosted by Spider58 Pty Ltd.

Manager/Organiser: Spider58 Pty Ltd.

Stallholder: Any individual, business or organisation participating in the Event as a Stallholder, including employees, contractors, or helpers.

Stall: A designated space allocated to the Stallholder for selling, displaying or promoting goods or services.

Stall Fee: The fee payable to participate in the Event.

Website: www.adelaidecomicandtoyfair.com (or as otherwise notified).

Rules: Event-specific instructions issued via the Website or email.

Trading Hours: Hours the event is open to the public.

Venue: St Clair Recreation Centre, 109 Woodville Road, Woodville SA.
2. Stallholder Requirements

You must provide up-to-date contact information (name, email, phone). Businesses must also provide an ABN, registered name and insurance details.

You are responsible for any damage caused to the Stall area or venue. Repair costs may be charged to you.

All Stallholders must hold valid public liability insurance of at least $20 million. Proof must be provided upon request.

Participation is at your own risk. Spider58 Pty Ltd is not responsible for any loss, damage or theft of personal items or stock.

We may refuse entry or remove individuals for reasons including but not limited to:
- Non-payment of fees
- Failure to provide insurance
- Aggressive or inappropriate behaviour
- Breach of any part of these Terms or the Rules
- Intoxication or unsafe conduct
3. Liability & Indemnity

Spider58 Pty Ltd makes no guarantee regarding sales or success at the Event.

You indemnify us against any legal claims or damages resulting from your actions or your staff/representatives.

We are not liable for injury, loss of property, reputational damage, or economic loss suffered by Stallholders.

If any exclusion of liability is found invalid, our maximum liability is limited to the stall fee paid.
-
These clauses survive termination of this agreement.
4. Venue Rules & Conditions

The venue may impose its own rules for entering upon and remaining on their property. Stallholders must comply and accept responsibility for any breach of these rules.

Venue cleaning or damage fees incurred due to your Stall will be passed on to you.
5. Trading Hours, Setup and Pack Down
-
Standard trading hours are 9:00am–3:30pm (subject to change; check the Website).
-
Bump-in/bump-out times will be confirmed via email prior to the event.

Stalls must be set up no later than 30 minutes before trading starts.

Vehicles must be off-site or in the designated parking area 30 minutes before event commencement.

Stalls must remain active until the Event concludes.
6. Stall Allocation and Access

Stall spaces are allocated at our sole discretion and may vary between events.

Tables must not be moved without prior approval.

You may not trade or promote outside your allocated Stall area.
-
Each Stall includes 2 entry passes. Additional passes may be purchased in advance (fee listed on Website).
7. Fees & Payment
-
Fees are published on the Website and include GST.
-
Community stalls for not-for-profits may be offered free of charge (limited availability).

Full payment is due within 2 weeks of invoice (or 2 days before the Event if booking late).

Unpaid bookings may be forfeited.
8. Cancellations & Refunds
-
If we cancel or postpone the Event before it starts, you may transfer your booking to a future event or receive a full refund.

If the Event is cancelled after it begins, no refund will be issued.

If you cancel:

More than one month out: A refund (minus a $20 admin fee) or one-time transfer to the next event is available.

Less than one month: No refund.

9. Prohibited Items and Conduct
You must not sell, display or give away:

Weapons or prohibited items
-
Counterfeit goods
-
Unsafe items or those breaching copyright and/or IP laws
-
Offensive, pornographic or harmful content
Spider58 Pty Ltd reserves the right to inspect your Stall and take action to restrict or remove any non-compliant items or activities.
10. Health, Safety & Conduct

All Stallholders must follow our event safety policies and any venue-specific or government regulations (including COVID-19).

You must keep your Stall safe, tidy and within allocated boundaries.
-
Walkways and emergency exits must remain clear.
-
Keep noise levels reasonable and be respectful of fellow Stallholders and attendees.
-
Abuse, harassment or unsafe conduct will result in removal from the Event without refund.
11. Emergencies & Incidents
-
Report emergencies immediately to event, venue or first aid staff.
-
In an evacuation, follow directions and do not return until cleared to do so.
-
Life-threatening emergencies: call 000.
-
Report all incidents or injuries to event staff on site.
12. Photography and Promotion
Photos and recordings may be taken at the Event. By participating, you consent to Spider58 Pty Ltd using these for promotional purposes on social media, websites and future event material.
